7. Scope of Work
The agreed project scope will be determined by the applicable proposal, Statement of Work, contract, or written project agreement.
Work not reasonably included within the agreed scope may be treated as additional work.

DextechLabs will endeavour to communicate material scope changes before undertaking significant additional work.
8. Change Requests
Clients may request changes during a project.
DextechLabs may evaluate the impact of a requested change on:

- Technical architecture
- Resource allocation
- Existing functionality
- Third party dependencies
Material changes may require written approval before implementation.
9. Project Timelines
Project timelines are estimates unless expressly agreed as fixed contractual deadlines.
Delivery timelines may be affected by:
- Changes in scope
- Client feedback delays
- Third party service availability
- Integration issues
- Infrastructure issues
- Regulatory requirements
- Unforeseen technical complexity
- Force majeure events
DextechLabs will use reasonable efforts to communicate significant project delays.
10. Fees and Payment
Fees will be specified in the applicable proposal, invoice, Statement of Work, or service agreement.
Payment structures may include:
- Advance payments
- Milestone payments
- Monthly payments
- Hourly billing
- Dedicated resource billing
- Retainer arrangements
- Fixed project fees
Clients agree to pay invoices according to the payment terms stated on the applicable invoice or agreement.
Unless otherwise agreed in writing, applicable taxes, payment processing charges, bank charges, or international transfer fees may be charged or allocated according to the relevant commercial agreement.
11. Late or Non Payment
Where payment becomes overdue, DextechLabs may, subject to applicable contractual terms:
- Send payment reminders
- Suspend project work
- Suspend support
- Delay delivery
- Restrict access to unpaid deliverables
- Withhold final source code or transferable project assets
- Terminate the relevant service engagement
Suspension caused by overdue payment may affect project timelines.
Clients remain responsible for undisputed fees for services properly performed.
12. Refunds
Unless otherwise agreed in writing, payments for completed work, allocated resources, approved milestones, purchased third party services, or work already performed are generally non refundable.
Any refund request will be evaluated according to:
- The applicable service agreement
- Work completed
- Resources allocated
- Third party expenses
- Approved deliverables
- Project circumstances
Custom software and professional service engagements are not automatically eligible for refunds merely because a client changes business direction, priorities, or requirements.
13. Intellectual Property
13.1 DextechLabs Intellectual Property
DextechLabs retains ownership of its pre existing:
- Tools
- Frameworks
- Libraries
- Development methods
- Processes
- Templates
- Know how
- Reusable components
- Internal systems
- General technical knowledge
Unless expressly agreed otherwise, providing services does not transfer ownership of DextechLabs' pre existing intellectual property.
13.2 Client Deliverables
Ownership of custom project deliverables will be determined by the applicable proposal or service agreement.
Where the parties agree that custom deliverables will be transferred to the client, such transfer may be subject to full payment of all applicable fees.
13.3 Third Party Components
Projects may use:
- Open source software
- Third party APIs
- Cloud services
- Plugins
- Libraries
- Software development kits
- Licensed assets
Such components remain subject to their respective licences and terms.
DextechLabs cannot transfer ownership of third party intellectual property.

- Credentials
- Documents
- Brand assets
The client represents that it has the necessary rights, permissions, or legal authority to provide such materials to DextechLabs.
DextechLabs is not responsible for claims arising solely from client supplied materials that infringe third party rights where DextechLabs had no reasonable knowledge of the infringement.
15. Confidentiality
Where DextechLabs receives confidential business or technical information, we will use reasonable measures to protect such information.
Specific confidentiality obligations may be governed by a Non Disclosure Agreement or service agreement.
Confidential information generally does not include information that:
- Is publicly available without breach of an obligation
- Was lawfully known before disclosure
- Is independently developed without use of the confidential information
- Is lawfully received from another authorised source
- Must be disclosed under applicable law or legal process
16. Artificial Intelligence Services
DextechLabs may develop or integrate AI, machine learning, generative AI, large language models, retrieval systems, and automation technologies.
Clients acknowledge that AI generated outputs may:
- Contain inaccuracies
- Produce incomplete information
- Require human review
- Vary between outputs
- Depend on third party AI providers
Unless expressly agreed otherwise, AI systems should not be used as the sole decision maker for legal, medical, financial, employment, safety critical, or similarly high impact decisions.
Clients are responsible for ensuring that their intended use of AI solutions complies with applicable laws and industry requirements.
17. Data Services
DextechLabs may provide data engineering, data collection, extraction, refining, lead research, or related solutions.
Clients must not request services intended to:
- Gain unauthorised access to systems
- Obtain illegally acquired information
- Circumvent technical security measures unlawfully
- Violate applicable privacy laws
- Misuse confidential information
- Facilitate fraud or unlawful surveillance
DextechLabs reserves the right to reject or terminate projects that reasonably appear unlawful, unethical, or inconsistent with our business standards.
18. Digital Marketing Services
Marketing, SEO, advertising, and performance marketing outcomes depend on multiple factors beyond DextechLabs' direct control.
These may include:
- Market conditions
- Competition
- Advertising platform policies
- Consumer behaviour
- Client pricing
- Product quality
- Website performance
- Sales processes
- Advertising budgets
- Algorithm changes
Unless expressly guaranteed in a written agreement, DextechLabs does not guarantee:
- Specific sales volumes
- Specific revenue
- Specific return on advertising spend
- Specific search engine rankings
- Specific lead volumes
- Specific conversion rates
We will perform agreed services using reasonable professional efforts and the agreed strategy.
19. Search Engine Optimisation
Search engines independently determine rankings and may change their algorithms, policies, and indexing practices.
DextechLabs cannot guarantee permanent or specific search engine positions unless a specific contractual commitment expressly states otherwise.
SEO results may require ongoing technical, content, and authority building activities.
20. Third Party Services
Projects may depend on third party platforms including:
- Cloud providers
- Payment gateways
- Social media platforms
- Advertising platforms
- Analytics services
- Communication providers
- APIs
- Plugins
- Software libraries
DextechLabs is not responsible for third party:
- Outages
- Policy changes
- Pricing changes
- Service discontinuation
- API changes
- Account suspension decisions
- Security incidents outside our reasonable control
Additional work required because of material third party changes may be treated as additional scope.
21. Cloud and Infrastructure Services
Where DextechLabs manages or assists with cloud infrastructure, clients remain responsible for applicable third party cloud charges unless otherwise agreed.
Cloud usage costs may change based on:
- Traffic
- Storage
- Bandwidth
- Computing resources
- Database usage
- Third party pricing
DextechLabs does not control third party cloud pricing.
22. Software Testing
DextechLabs may perform manual or automated testing according to an agreed scope.
Software testing reduces risk but cannot guarantee that software will be entirely free from defects, vulnerabilities, compatibility issues, or future failures.
Clients should maintain appropriate backups, monitoring, and operational controls for production systems.
23. Warranties
DextechLabs will use reasonable professional skill and care in providing agreed services.
Except where expressly stated in a written agreement, services and website content are provided without additional warranties to the maximum extent permitted by applicable law.
We do not warrant that:
- The website will always be uninterrupted
- All software will be completely error free
- Third party services will remain continuously available
- Business outcomes will meet unspecified expectations
- All technology will remain compatible with future third party changes
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
24. Limitation of Liability

28. Portfolio and Project References
Subject to confidentiality obligations and applicable client agreements, DextechLabs may request permission to identify completed projects, client names, logos, or publicly available project information for portfolio, case study, or marketing purposes.
Where an applicable agreement prohibits such use, the relevant contractual confidentiality terms will apply.
Confidential client information will not intentionally be published as portfolio content without appropriate authority.
29. Termination of Services
Either party may terminate a service engagement according to the applicable agreement.
DextechLabs may suspend or terminate services where:
- Payments remain materially overdue
- A client materially breaches an agreement

- DextechLabs personnel face abuse, threats, or harassment

Upon termination, outstanding fees for completed work and committed resources may remain payable according to the applicable agreement.
